Terms of Service

1. Who this applies to

This Distributor Portal (the "Portal") is operated by FOL ("FOL", "we", "us") for wholesale business customers only. It is not intended for individual consumers, and nothing on the Portal is an offer to the general public. By applying for an account or placing an order, you confirm you are authorized to do so on behalf of the business named on the account.

2. Accounts

New accounts are subject to our review and approval, and we may assign a pricing tier based on your business at our discretion. We may suspend or terminate an account at any time for suspected fraud, non-payment, or misuse of the Portal. California customers are required to provide a valid seller's permit (resale certificate) number and a copy of the permit before an order can be placed, as required under California law.

3. Orders, pricing & payment

Prices shown are specific to your account's pricing tier and are not a public price list. Product availability and stock levels shown on the Portal are updated regularly but are not guaranteed at the moment you place an order. We reserve the right to cancel or adjust an order before it ships if a product is unavailable or priced in error.

Orders are invoiced on shipment. Payment terms and accepted payment methods (wire, check, or other arrangement) are agreed between you and your account representative. We do not process credit card payments through the Portal.

4. Product information

We make reasonable efforts to keep product descriptions, dimensions, and images accurate, but we don't warrant that they are complete or error-free. If a product materially differs from its listing, contact us and we'll make it right on that order.

5. Limitation of liability

To the fullest extent permitted by law, FOL is not liable for indirect, incidental, or consequential damages arising from your use of the Portal. Our total liability for any claim relating to an order is limited to the amount you paid for that order.

6. Governing law

These terms are governed by the laws of the State of California, without regard to its conflict-of-law principles.

7. Changes

We may update these terms from time to time. Continued use of the Portal after an update means you accept the revised terms.
